Introduction
The Simplified Closed Corporation (SACS) is a type of company in Peru created to facilitate the formalization of businesses quickly and easily. This alternative corporate regime, introduced in 2018 by Legislative Decree N° 1409, allows entrepreneurs to incorporate a company without the need for traditional notary or registration procedures.
Main Characteristics of the SACS

Digital Incorporation: The SACS can be incorporated completely digitally through the SID-SUNARP platform.

Minimum Shareholders: The SACS is formed by the private agreement of two (02) or up to twenty (20) natural persons, who are financially responsible up to the amount of their respective contributions.

No Public Deed: It does not require the intervention of a notary to sign the Constitutive Act.

Limited Liability: Shareholders are not personally liable for the company’s debts.

Registration on the SID-SUNARP Platform: Access the digital platform and complete the company data.

Digital Signature of Shareholders: All shareholders must digitally sign the document.

Registration in the Registry of Legal Entities: SUNARP validates the information and proceeds with the registration.

Obtain RUC and Licenses: Once registered, the RUC must be processed at SUNAT and municipal permits managed as applicable.
