Sacsmype Legal - SACS company incorporation service Version valid from August 1, 2025
These Terms and Conditions (hereinafter, the Terms) regulate the use of the company incorporation service under the Simplified Closed Stock Corporation (SACS) regime offered by Sacsmype Legal through the platform https://sacsmype.org.pe and associated channels.
Sacsmype Legal is the commercial name of GEN AI LEGAL S.A.C.S., with RUC 20614276534, domiciled at Av. Enrique López Albújar Mza. J Lote 2, district of Amarilis, province and region of Huánuco, Peru. When we talk about Sacsmype Legal, “we”, “our” or “the platform”, we refer to that legal entity.
When we talk about “the User”, “you” or “the applicant”, we refer to the legal age natural person who enters the service to incorporate their company, either as the sole interested party or as one of the founding partners.
Read calmly. We have made the effort to draft these Terms in clear language, without unnecessary technicalities. If something is not clear to you, write to us at [email protected] before accepting.
1. Quick glossary
To help you understand everything from the beginning, these are the words we use throughout the document:

| Corporate purpose | Description of the economic activities your company will engage in. It is one of the mandatory details of the incorporation act. |
| Capital Stock | Set of economic contributions or assets (money, devices, real estate) made by shareholders, which must be fully subscribed and paid at the time of digital incorporation via SID-SUNARP. |

2. What we do for you (scope of service)
The service described in these Terms is focused exclusively on the incorporation of companies under the SACS regime. This means that we accompany you throughout the process so that you go from the idea to having a company formally registered in SUNARP, with its RUC number assigned by SUNAT.
Specifically, the service includes:
- Guided collection of the necessary information to incorporate your company, through an online form divided into four steps.
- Preliminary review of the data entered to detect evident inconsistencies before submission to SUNARP.
- Assisted generation of the corporate purpose based on the industry and description you provide, supported by artificial intelligence technology.
- Availability consultation and Reservation of the proposed name in the SUNARP directory to reduce the risk of observations.
- Preparation of the incorporation act that meets the requirements of Legislative Decree 1409.
- Accompaniment during the digital signature of the document through SID-SUNARP.
- Support for the presentation of the document to the Registry of Legal Entities of SUNARP.
- Communication with the User during the qualification process, including the transfer of any registry observations for their correction.
- Sales service of the digital certificate for natural persons.
2.1. What is NOT included in this service
To avoid misunderstandings, we clarify what falls outside the contracted scope:
- Other Sacsmype Legal services (SaaS complaints book, business software, electronic certification, etc.) which are governed by their own terms.
- Payment of taxes, registration fees, or any other cost charged by SUNARP, SUNAT, or another public entity. These are directly assumed by the User.
- Procedures subsequent to the registration of your company, such as opening a bank account, authorization of books, payroll registration, municipal licenses, civil defense, etc.
- Continuous advisory in tax, labor, accounting, or corporate matters. If you need any of that, we can offer it as an additional service with a separate quote.
- Incorporation of other corporate forms different from SACS (S.A., S.A.C., S.R.L., E.I.R.L., associations, etc.).
- Statutory modifications, transformations, mergers, or dissolutions after registration.
3. Why incorporate your company as a SACS (benefits)
The SACS is a corporate regime created especially for entrepreneurs and family businesses looking to formalize quickly, with low costs and in a fully digital manner. These are the main benefits you obtain when choosing this form:

| Fast timeframe | The complete process can take a few business days from submission to SUNARP, depending on the registry’s workload and provided there are no observations. |
| Assistance with corporate purpose | If you don’t know how to draft your company’s corporate purpose, our platform helps you automatically generate it from the industry and description you provide. |
| Human support | Although the process is digital, you are not alone. Our team accompanies you via email and other channels if doubts arise or if SUNARP makes any observation to the title. |
Important: The SACS is not for all cases. If your project requires partners that are legal entities, a very large capital, or a complex corporate structure, another form such as the S.A.C. or S.A. may be more appropriate. If you have doubts, write to us for guidance before starting the procedure.
4. How the step-by-step process works
We explain how the registration form works so you know what information to prepare before starting. Having everything ready will save you time and reduce the possibility of errors.
4.1. Step 1: Company details
In this first stage, you give us the basic information of the company you are going to incorporate:
- Three name options: You must propose three alternatives in order of preference. SUNARP will use the first; if it is not available, it will try the second and then the third. We recommend searching beforehand in the SUNARP company directory to avoid names already taken.
- Address and location: The address of the company’s tax domicile, along with its district, province, and region (UBIGEO).
- Type of representation: You choose how decisions will be made: representation in a general meeting not allowed, by shareholder or first-degree relative, or by third parties allowed.
- Board of Directors: You decide if your company will have a board of directors (a collective governing body) or if decisions will be made directly in shareholder meetings.
4.2. Step 2: Corporate purpose
Here you define what your company will do:
- Main industry: You choose the main activity from a drop-down menu. This guides the rest of the process.
- Detailed corporate purpose: You describe in your own words what activities the company will perform. If you prefer, you can click on Generate corporate purpose and our system will propose a text based on the industry and your instructions, up to a maximum of 10000 characters.
4.3. Step 3: Partner registration
For each partner who will participate, you enter their personal and corporate information. Remember that you need a minimum of two partners and a maximum of twenty:
- Identification: Document type and number, surnames and names, date of birth, domicile, country of residence, nationality, district-province-region, marital status.
- Contact: Phone number and email, important data because the delivery of the digital certificate will be managed through there.
- Role and profession: Position within the company (manager, president, etc.) and profession or occupation.
- Contribution: Type of contribution (monetary or non-registrable assets), amount, and percentage of participation in the capital stock.
4.4. Step 4: Terms, signature and sworn statement
In the last stage, you formalize your application:
- Signature modality: The signature of the incorporation act is carried out with SID-SUNARP, through the digital certificate of each partner.
- Acceptance of terms: You check the box accepting these Terms and Conditions and the Privacy Policy.
- Sworn statement: You also check the declaration by which you recognize, under oath, that all the information provided is true and you submit to the processing established by the Personal Data Protection Law and its Regulations.
Regarding the sworn statement in Step 4: checking that box is equivalent to a formal declaration with legal effects. Peruvian law establishes that founding partners are jointly and severally liable for any damages they may cause due to inaccurate or false information, without prejudice to any applicable administrative or criminal sanctions. Make sure to double-check everything before signing.
In SACSMYPE, as part of our service and purpose of massifying the formalization of entrepreneurs in Peru, we commercialize digital certificates for natural persons to Accountants, lawyers, natural or legal persons dedicated to the company incorporation service, as well as to natural persons who want to incorporate their company without our support but with the purchase of the digital certificate.
5. Your responsibilities as a User
For the service to work well and the company to be correctly incorporated, you assume the following commitments when accepting these Terms:
5.1. Regarding the information you provide us
- Truthfulness: All the information you enter in the form must be true, accurate, and up-to-date at the time of signing. This includes personal data, address, capital, profession, contributions, and any other field of the registration.
- Integrity: You must not omit relevant information or distort the facts. If you doubt how to fill out a field, it is better to consult us before continuing.
- Valid documents: The identity documents of each partner must be valid and the digital certificates must correspond to the natural persons signing.
- Lawful origin of funds: You declare that the contributions to the capital stock come from lawful sources. Remember that after registration, SUNARP communicates to the Financial Intelligence Unit the list of partners and contributed amounts.
5.2. Regarding the use of the platform
- Personal access: Your account is personal and non-transferable. If you create it on behalf of another, you assume all responsibility for the use made of it.
- Proper use: You must not attempt to access parts of the system that do not correspond to you, nor subject the platform to anomalous loads, unauthorized tests, or any action that may compromise its operation.
- Confidentiality of credentials: Take care not to share your password or your digital certificate with third parties. If you believe someone accessed without authorization, notify us immediately.
5.3. What you assume upon signing
By signing the incorporation act with SID-SUNARP, the founding partners assume the following responsibilities towards SUNARP and third parties, according to the regime of Legislative Decree 1409:
- Answer for the existence and truthfulness of the information in the incorporation document.
- Answer jointly and severally for the damages that could be caused to third parties if the information were inaccurate or false.
- Be subject to possible administrative or criminal sanctions that may apply in case of a fraudulent declaration.
- As an individual partner, answer economically for the obligations of the company up to the amount of your contribution, except in cases of labor fraud committed against third parties and without prejudice to tax legislation.
6. Our role - what we do and what we don’t
So that expectations are clear from the beginning, we explain how far our responsibility reaches and where yours or that of the public entities begins.
6.1. What we commit to do
- Provide the described service with reasonable professional diligence.
- Comply with the Peruvian regulations applicable to the incorporation of SACS.
- Maintain the confidentiality of the information you entrust to us, except when it must be shared with SUNARP or other public entities for the procedure itself.
- Apply reasonable technical and organizational measures to protect your personal data, as described in our Privacy Policy.
- Communicate any registry observation or other relevant event in the process to you.
- Refund the money paid for the service if the company fails to register for causes exclusively attributable to us (does not apply if the rejection is due to inaccurate information provided by you, registry observations not corrected in time, or other factors beyond our control).
6.2. What we CANNOT guarantee
- Automatic approval by SUNARP: Registry qualification is carried out by SUNARP, not by us. Although we prepare the incorporation act carefully, SUNARP may formulate observations requiring correction.
- Immediate availability of proposed names: Although we consult the directory before submission, SUNARP has the final say. It is possible that none of the three name options are accepted and new ones must be proposed.
- Exact registration timeframes: Registry times depend on SUNARP’s workload and there being no observations. We give you good-faith estimates but not contractual deadlines.
- Adequacy to your particular case: The SACS is a standardized regime. If your situation requires specific statutory clauses (share preferences, stricter transfer restrictions, etc.), you will have to evaluate if the SACS really suits you.
- Services provided by third parties: The issuance of the digital certificate is handled by an external certification provider. SUNARP is the competent public entity. SUNAT assigns the RUC. We are not responsible for delays or decisions by these third parties.
7. Intellectual property
Ours. The platform, its code, designs, logos, editorial contents, intelligent assistants, manuals, templates, and any original element created by Sacsmype Legal belong exclusively to GEN AI LEGAL S.A.C.S. or are licensed to us by their owners. We grant you a limited, non-exclusive, non-transferable license for the time necessary to fulfill the service you have contracted.
Yours. The information you enter (company details, partner details, corporate purpose descriptions, etc.) remains yours. We use it solely to provide the service to you. Once the company is incorporated, the documents generated during the procedure are yours.
“Sacsmype Legal” Brand. It is the commercial name of GEN AI LEGAL S.A.C.S. You may not use or reproduce it for commercial purposes without our written authorization. This does not prevent you from mentioning the name in legitimate contexts such as an invoice, a comment, or a review.
8. Prices, payments and receipts
8.1. How the service is charged
The price for incorporating your SACS is published on the platform at the time of starting the procedure. The price includes the professional service of Sacsmype Legal, but does NOT include the registration fees charged by SUNARP nor the cost of the digital certificate onwards for the third partner, which are specified separately.
Prices are in Peruvian soles (S/) and include IGV when applicable for residents in Peru; in the case of Foreigners, the cost is in Dollars ($) and includes taxes. Payments are made through the means enabled on the platform (credit or debit card, digital wallets, bank transfers).
8.2. Electronic receipts
For each payment, we issue the electronic receipt (receipt or invoice, as you indicate) and send it to your registered email. You can also download it from the platform. The issuance, conservation, and taxation comply with SUNAT regulations.
If you need to change the receipt (for example, from a standard receipt to an invoice per your accountant’s request), you must communicate it before issuance. Once issued, changes are governed by SUNAT rules and may not be possible depending on the case.
8.3. Refunds
We refund the amount paid for the professional service when the impossibility of incorporating the company is attributable exclusively to us. We do not refund:
- When the registry rejection is due to inaccurate or incomplete information provided by the User.
- When the User decides to withdraw from the process once the procedure has started with SUNARP.
- The fees paid to SUNARP, as those are charged and administered by the public entity, not by us.
- The cost of the digital certificate, which is charged by the certification provider.
9. Personal data processing
Full details of how we collect, use, and protect your personal data and the data of the other partners are contained in our Privacy Policy, which is part of these Terms. We recommend you read it carefully.
For any request regarding your personal data (access, rectification, cancellation, opposition, portability), write to us at [email protected]. We will respond within the applicable legal deadlines.
10. Suspension and cancellation of the service
We may suspend or terminate the service in cases such as:
- Detection of manifestly false or fraudulent information provided by the User.
- Reasonable suspicions that the procedure has an illicit purpose or violates anti-money laundering regulations.
- Non-payment of the service or repeated default.
- Improper use of the platform that compromises the operation of the system or the rights of other users.
- Requirement of judicial or administrative authority.
- Decision of the User themselves not to continue the procedure.
When the termination is attributable to the User, no refund of the amount paid for the part of the service already executed is applicable.
11. Liability and limitations
We provide the service with the reasonable diligence of a professional. However, there are limits to our responsibility that should be clear:
- For third-party actions: We are not responsible for delays, observations, or decisions by SUNARP, SUNAT, digital certification providers, financial intermediaries, or other entities outside of us.
- For inaccurate information from the User: If the cause of the problem is incorrect, incomplete, or false information that you or the partners provided, we are not responsible for the consequences.
- For indirect damages: Nor are we liable for lost profits, loss of business opportunities, or other indirect damages arising from delays or an eventual registry rejection.
- For force majeure or fortuitous event: Events such as the collapse of SUNARP public services, cyberattacks, natural disasters, government decisions, labor strikes, and similar events temporarily suspend our obligations.
In any case, the maximum total amount for which we respond in relation to a specific procedure is limited to the price of the professional service effectively paid by the User for that procedure.
12. Changes to these Terms
These Terms may be updated when regulations change, when we launch improvements, or when we adjust practices. If the changes are substantial and you have not yet completed your procedure, we will notify you at the registered email and publish a notice on the platform with a reasonable timeframe before they come into effect.
Substantial changes do not apply retroactively to procedures already initiated before the new version, unless the change is more favorable to the User or the law requires it.
13. Applicable law and jurisdiction
These Terms are governed by the laws of the Republic of Peru. Any dispute between the User and Sacsmype Legal that cannot be resolved in good faith between the parties shall be submitted to the judges and courts of the Judicial District of Huánuco, expressly waiving any other jurisdiction.
Without prejudice to the foregoing, if you are a consumer protected by the Consumer Protection and Defense Code, you retain your right to appeal to INDECOPI under the terms of Peruvian legislation, without these Terms being able to deprive you of that right. You can also contact the National Authority for the Protection of Personal Data of the Ministry of Justice for matters related to your personal data.

15. Final provisions
- Entire agreement: These Terms, together with the Privacy Policy and any commercial annexes that may exist, make up the total agreement between the User and Sacsmype Legal regarding the SACS incorporation service, and supersede any prior communication or agreement on the same subject.
- Severability: If any provision of these Terms is declared invalid or unenforceable by a competent authority, the remaining provisions will remain fully in effect.
- No waiver: Sacsmype Legal’s tolerance regarding a breach by the User does not imply a waiver to demand its future compliance or to exercise its rights in other breaches.
- Assignment: Sacsmype Legal may assign the rights and obligations of these Terms to another company of the same group or to a possible successor due to corporate reorganization, giving notice to the User. The User may not assign their rights without our written authorization.
